1. Who these Terms are between
These Terms of Use ("Terms") are between MNIGS Nigeria Limited ("MNIGS", "we", "us", "our"), a company registered in Nigeria under RC.1045502 and operating as Consultants & Engineers, and any individual or organisation ("you", "the Client") that signs up for a Total Care Plan (AMC) contract or uses this platform, including the client portal. ElectriKa is the name under which MNIGS provides the Total Care Plan and this platform.

2. What the Total Care Plan covers
The Total Care Plan is an annual maintenance contract (AMC). The specific services, response-time commitments, and visit frequency for your account depend on the tier (Basic, Standard, or Premium) named in your signed contract — that signed contract, not this page, is the controlling document for scope and pricing if the two ever disagree.
This platform (the client portal, notifications, and reporting you see here) is how we deliver and document that contract day to day — it is a tool that supports the agreement, not a replacement for it.
3. Emergency response & SLA
Where your contract includes an emergency response SLA, the countdown starts when an emergency is logged through the portal or by phone, and we'll keep you posted through the notification channel you've chosen. We aim to meet the response window in your contract; where a specific remedy applies if we miss it (credit, make-good visit, or otherwise), that remedy is defined in your signed contract, not this page.
4. Billing & payment
Invoices are issued against your contract's annual fee and payment terms. Right now, payment is online through Paystack (card, bank transfer or USSD) or by direct bank transfer. If an invoice goes unpaid past its due date, we'll send reminders before anything else happens — we don't suspend service without first trying to reach you.
5. Your account & the client portal
If we set you up with a portal login, keep your password to yourself and tell us quickly if you think someone else has access. You're responsible for what happens under your login, within reason — we're not liable for damage caused by a login you didn't keep secure.
6. Liability
[This section needs a lawyer's input — liability caps, force majeure, and what happens for events outside our reasonable control (e.g. grid/fuel outages, access denied on site) should be spelled out precisely rather than left as this placeholder.]
7. Ending the contract
Renewal, non-renewal, and early termination terms follow whatever is agreed in your signed contract. We'll always send renewal reminders well ahead of your contract's end date so there are no surprises.
8. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes are subject to the exclusive jurisdiction of the courts of Enugu State.
9. Changes to these Terms
We may update these Terms as the service grows. Material changes will be flagged in the portal, and continuing to use the service after a change means you accept the update.
